Terms of service.

These terms govern your use of droz.tech and any document, asset, or form submission delivered through it. By using the site you agree to these terms. If you do not agree, do not use the site.

1. The parties

These terms are an agreement between you ("you," "your") and Droz Technologies Inc., a corporation incorporated under the laws of Ontario, Canada, headquartered at 4145 North Service Road, Burlington, Ontario, Canada ("Droz," "we," "us").

2. Acceptance & changes

Your use of droz.tech constitutes acceptance of these terms in the version posted at the time of use. Droz may modify these terms; the current version is always shown in the article-meta row above. Material changes are signalled by a bumped version number; continued use of the site after a material change constitutes acceptance of the new version.

3. Use of the site

Permitted: visiting and reading the public pages; submitting a form for a legitimate purpose (engagement, procurement, press, careers, insights subscription); downloading a document explicitly offered for download (the capabilities statement, media-kit files).

Prohibited:

  • Automated scraping at a rate that materially affects service availability.
  • Submitting forms with false identity, intent to defraud, or material that violates third-party rights.
  • Attempting to circumvent the form provider's spam protections (Cloudflare Turnstile, honeypot).
  • Reverse-engineering, decompiling, or interfering with the operation of the site.
  • Using the site to send unsolicited commercial communications to Droz personnel.

4. Intellectual property

All content on droz.tech — including text, photography, page layouts, product names, the Droz· wordmark, the Droz Times typeface assets shipped with the site, the JetBrains Mono and Inter Tight font configurations, the source HTML, the colors_and_type.css token system, and the site.css and site.js implementations — is © 2004–2026 Droz Technologies Inc., except where third-party content is identified and credited (see Section 6).

You may quote short excerpts of the site for editorial / journalistic purposes consistent with fair dealing (Canada) or fair use (USA) so long as the source is identified. Republishing entire sections, the design system, or the source code requires written permission from Droz.

The Droz·, Droz Technologies, and Droz Times brand marks are trademarks of Droz Technologies Inc., and the product names (Droz Legal, Samson AI, RX Change, VISP, Droz Predictive, Droz Rental, Droz Investments, After Life) are trademarks or trade names of Droz Technologies Inc.

5. Forms & submissions

Forms submitted through droz.tech are processed per the Privacy policy and routed to the inbox listed in the form catalog. Submission of a form does not by itself constitute a contract, an offer to contract, or an acceptance of any solicitation; an engagement requires a written agreement signed by an authorized Droz officer.

If you attach a confidential document (e.g., an RFP under NDA) to the procurement form, Droz will treat the document in line with the NDA's terms; in the absence of an NDA, Droz applies its standard confidentiality posture (limited internal distribution on a need-to-know basis).

6. Third-party logos, brand marks, and client mentions

Logos and trademarks of certifications, associations, technology partners, and clients shown on droz.tech are the property of their respective owners. Their inclusion is for descriptive purposes only and does not imply formal partnership, sponsorship, endorsement, or certification unless explicitly stated.

Client names are listed publicly only where the engagement is publicly disclosable. Engagements under NDA are listed only as anonymized credentials (e.g., "+ Fortune 500 under NDA").

7. No warranty

droz.tech and the documents distributed through it are provided "as is" and "as available," without warranty of any kind — express, implied, or statutory — to the maximum extent permitted by Ontario law. Droz disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Documents distributed via the site (the capabilities statement, the media kit, insights articles, case studies) are illustrative of Droz's practice. They are not contractual representations and do not modify, supersede, or extend the terms of any engagement contract.

8. Limitation of liability

To the maximum extent permitted by Ontario law, Droz's aggregate liability arising from or related to your use of droz.tech is limited to one hundred Canadian dollars (CAD $100). In no event is Droz liable for indirect, incidental, special, consequential, punitive, or lost-profits damages, even if advised of the possibility.

Nothing in these terms limits liability that cannot be excluded by Ontario law (e.g., gross negligence, wilful misconduct, fraud).

9. Indemnity

You agree to indemnify and hold Droz harmless from third-party claims arising from your unlawful use of droz.tech, your submission of material that violates third-party rights, or your breach of these terms.

10. Governing law & jurisdiction

These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without reference to conflict-of-laws rules.

The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising from these terms, except that Droz may seek injunctive relief in any jurisdiction to protect its intellectual property.

11. Severability & entire agreement

If any provision of these terms is found unenforceable, the remaining provisions remain in effect. These terms, together with the Privacy policy and the Accessibility statement, constitute the entire agreement between you and Droz regarding use of droz.tech and supersede prior site-use agreements.
